Maryland LLC Annual Report: Fee, Due Date and Penalties
What a Maryland LLC files to stay in good standing, what it costs and when it's due.
Verified October 2026 against official state sources.
- Report fee
- $300
- How often
- Every year
- When it's due
- Form 1 is the Annual Report combined with the Business Personal Property Return. It is due April 15 each year with a $300 annual report fee for LLCs, and SDAT will not accept the report unless the fee is attached. The personal property part of the return is filed on the same form, even when the LLC has no property.
- First report
- By April 15 of the year after formation.
- Late penalty
- A return postmarked after April 15 gets an initial penalty of 1/10 of 1% of the county assessment, plus interest of 2% of that initial penalty for each 30 days or part of 30 days late. SDAT bills the penalty, so do not prepay it. Because it is computed from the assessment, an LLC with little or no personal property may owe little or nothing.
Fee details: Annual Report (SDAT Form 1, with Business Personal Property Return) due April 15 (next business day if weekend); $300 filing fee for LLCs. Late: penalty of 1/10 of 1% of county assessment per month plus interest; failure can lead to forfeiture. First report due April 15 of the year after formation. Fee waiver possible only via MarylandSaves program.
If you miss a deadline
SDAT issues estimated assessments at twice the estimated value of the personal property. Failing to file results in forfeiture of the Maryland charter (or, for a foreign LLC, of the right to do business in Maryland).
Getting reinstated: $100 state fee, plus any back reports, taxes and penalties.
Filing yourself, a Maryland LLC costs $400 in the first year and $300 a year after.
